§ 1 Contract Content
We accept orders by mail, telephone, fax, or email. Unless Novodent has explicitly confirmed an order, the shipment of the goods shall be considered as acceptance of the order. Once an order has been processed, cancellation is only possible by way of an exchange (§ 8).
The product classifications and prices listed in the Novodent price list were valid at the time of publication. However, we reserve the right to change them without prior notice. Generally, the prices and conditions valid at the time of the order shall apply. If delivery is made more than four months after the order due to circumstances beyond our control, the prices applicable at the time of delivery shall apply.
Errors and typographical mistakes are excepted. The prices stated in the catalog are net prices; the dealer discount has already been deducted in the dealer price list. Prices are exclusive of the applicable value-added tax at the time of delivery.
§ 2 Shipping
Shipping is carried out from the Novodent headquarters (EXW). Partial deliveries may be shipped and invoiced separately. However, the total order value is relevant for calculating the shipping costs. For orders under €100, a surcharge of €10 will be applied.
Goods are shipped insured. Transport damages must be reported within 24 hours. In the event of delayed acceptance of the delivery due to the customer's fault, Novodent reserves the right, after a grace period of 10 days, to demand payment or to withdraw from the contract and claim damages for non-performance.
§ 3 Extension of Delivery Period
In the event of force majeure, strikes, official orders, or operational disruptions beyond our control lasting more than one week, the acceptance period shall be reasonably extended for the duration of the disruption.
The counterparty has the right to withdraw from the contract by providing at least two weeks’ notice via fax or letter. Claims for damages are excluded in the aforementioned cases.
§ 4 Payment
The invoice will be issued on the day of shipment or delivery of the goods. Payment must be received within 15 days from the invoice date. Prepayments and PayPal payments are excluded from this regulation.
§ 5 Default of Payment
Default interest will be calculated at the discount rate of the Deutsche Bundesbank plus 5%. Until full payment of the invoiced amounts, including default interest, Novodent is not obliged to make further deliveries and may require advance payment before processing a new order.
If there is a default of payment on any invoice amount, all other outstanding amounts shall become immediately due and payable. Novodent charges the following minimum overdue fees:
- €2 – for the first reminder notice
- €4 – for the second reminder notice
- €8 – for the third reminder notice
Novodent reserves the right to place the customer on a prepayment basis at any time.
§ 6 Offsetting and Credit Notes
Offsetting is only permitted for undisputed and legally established claims. Withholding of due amounts is not permitted unless Novodent suspends payments. Credit notes will be automatically applied to customers with open account agreements; all others will be offset with the following invoice.
§ 7 Reporting Damages

Complaints must be included in writing with the return shipment. Novodent must be informed of complaints within 10 days of receipt of goods. Usual or minor deviations that are technically unavoidable do not entitle the customer to make a complaint.
In the case of justified complaints, Novodent has the right to improve the delivery or provide a defect-free replacement within four weeks of receipt of the return shipment. Thereafter, statutory provisions shall apply.
§ 8 Exchange

Each return must include a note stating the reason for the return. Credit notes cannot be issued until Novodent has received the return shipment and verified its eligibility. Materials that are intact and unopened can be exchanged at the customer's request within 14 days of receipt. In all cases, the customer shall bear any additional costs incurred by the return shipment.
§ 9 Retention of Title
All goods remain the property of Novodent until full settlement of all claims arising from the business relationship with the customer. The customer is not entitled to resell the goods as long as they have not fulfilled their obligations.
In the event of processing the goods, Novodent acquires co-ownership of the products in proportion to the value of the processed Novodent materials relative to other processed materials, but at least up to the amount of the outstanding claim.
The customer assigns all claims arising from the resale, including all ancillary rights and potential securities, to Novodent. Novodent is entitled to collect claims from the resale until revoked. Upon request, the customer is obliged to inform their buyers of the assignment in favor of Novodent and to provide Novodent with the necessary information and documents for collecting outstanding receivables.
The pledging of goods subject to retention of title is not permitted. In the event of enforcement measures, the customer must explicitly point out the retention of title and is obliged to inform Novodent immediately.
If the value of securities retained by Novodent exceeds the amount of outstanding claims by more than 20%, Novodent shall, at the customer's choice, release fully paid goods from the retention of title.
§ 10 Place of Performance and Jurisdiction
The place of performance for all obligations arising from a delivery contract is the registered office of Novodent. The exclusive place of jurisdiction (LI-9490 Vaduz) for all disputes arising from or in connection with this contract shall be the registered office of Novodent. This clause applies only to customers who are businesses, merchants, or legal entities.
§ 11 Validity of Terms
Should individual provisions be or become invalid or contain a loophole, the legal validity of the remaining provisions shall not be affected. In place of the invalid provision, a valid regulation shall be deemed agreed, which comes closest to the intended regulation. The same applies in the case of a loophole.
